Terms of Service
Morgantus LLC
This Master Services Agreement (“Agreement”) is entered into between Morgantus LLC (“Provider”) and the client executing an order, proposal, or statement of work referencing this Agreement (“Client”).
1. SERVICES
Provider agrees to deliver marketing, automation, AI, website, chatbot, lead generation, and related technology services under the DentaScales, SpectraScales, or other Morgantus LLC brands (“Services”). Specific deliverables, pricing, and timelines may be defined in a proposal, invoice, or statement of work.
2. DATA OWNERSHIP
Client retains full ownership of all lead data, contact data, and customer information generated through the Services. Provider acts solely as a data processor and service provider. Provider does not claim ownership of Client data.
3. DATA STORAGE & INFRASTRUCTURE
Client acknowledges that data collected through landing pages, forms, AI chatbots, call tracking, and automations may be stored within Provider-controlled infrastructure, including multi-tenant databases operated by Provider. Client data is logically isolated from other clients using tenant-based access controls.
Provider may utilize third-party infrastructure providers including, but not limited to:
- Supabase
- AWS
- Vercel
- n8n
- WhatsApp / Meta APIs
- Cloud hosting providers
4. MULTI-TENANT ARCHITECTURE
Client understands and agrees that Provider operates a multi-tenant SaaS platform where multiple clients share the same infrastructure while maintaining logical data isolation. Provider implements safeguards to prevent cross-client data access.
5. DATA PROCESSING PURPOSE
Provider may process Client data solely for:
- Lead routing
- Automation workflows
- CRM functionality
- Reporting and analytics
- Appointment scheduling
- AI chatbot interactions
- Marketing attribution
- Service delivery
6. CONFIDENTIALITY
Provider agrees to maintain the confidentiality of Client data and not disclose Client information to third parties except as required for service delivery.
7. SECURITY
Provider implements commercially reasonable security measures to protect Client data, including access controls, authentication, and database isolation. Client acknowledges that no system is completely immune to security risks.
8. DATA ACCESS & EXPORT
Client may request export of its data at any time. Provider will supply data in a reasonable format within a commercially reasonable timeframe.
9. LIMITATION OF LIABILITY
Provider shall not be liable for indirect, incidental, or consequential damages. Provider’s total liability shall not exceed the amount paid by Client for Services in the preceding three months.
10. TERM
This Agreement remains in effect while Services are active unless terminated by either party.
11. TERMINATION
Either party may terminate services subject to any agreed minimum term. Upon termination, Client may request export of its data.
12. INTELLECTUAL PROPERTY
Provider retains ownership of its software, automation frameworks, AI systems, workflows, templates, and platform infrastructure. Client retains ownership of its data and branding.
13. INDEPENDENT CONTRACTOR
Provider operates as an independent contractor and not as an employee or partner of Client.
14. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida.
By using Provider services, Client agrees to this Agreement.
DATA PROCESSING ADDENDUM
Morgantus LLC
This Data Processing Addendum (“DPA”) governs processing of Client data by Morgantus LLC (“Processor”) on behalf of Client (“Controller”).
1. NATURE OF PROCESSING
Processor processes lead data, contact information, and communication data solely for providing marketing automation, CRM, and lead routing services.
2. TYPES OF DATA
Data may include:
- First name
- Last name
- Phone number
- Email address
- Chatbot messages
- Form submissions
- Call tracking metadata
- Appointment requests
3. PURPOSE
Processing occurs for:
- Lead delivery
- Automation workflows
- Client dashboards
- Messaging automation
- Reporting and analytics
4. MULTI-TENANT PROCESSING
Processor operates a multi-tenant architecture where multiple clients share infrastructure. Logical separation mechanisms are used to isolate client data.
5. SUBPROCESSORS
Processor may use subprocessors including:
- Supabase
- AWS
- Vercel
- n8n
- WhatsApp / Meta
- Cloud infrastructure providers
6. DATA SECURITY
Processor implements:
- Logical tenant isolation
- Access control
- Authentication
- Role-based access
- Secure API communication
7. DATA OWNERSHIP
Client retains ownership of all submitted data.
8. DATA RETENTION
Data is retained for service delivery unless Client requests deletion.
9. DATA EXPORT
Client may request export of data at any time.
10. DATA DELETION
Upon termination, Client may request deletion of data.
11. INCIDENT RESPONSE
Processor will notify Client of known data breaches affecting Client data.
12. LIABILITY
Processor’s liability is limited to service fees paid within previous three months.
By using Services, Client agrees to this DPA.
